Welcome to Hingeflow. This Terms of Service ("Agreement") is entered into by and between Hingeflow LLC ("Company," "we," or "us") and you ("Customer" or "you"). This Agreement governs your access to hingeflow.com (the "Site") as well as your access to and use of the Hingeflow software platform and related services (the "Services").
By browsing the Site, creating an account, or using the Services, you agree to be bound by this Agreement.
1. General Website Use
For users browsing the Site without registering for an account, the following rules apply:
- Intellectual Property: All content, designs, source code, and trademarks on the Site are owned by Hingeflow LLC. You may not copy, reproduce, or exploit any part of the Site for commercial purposes without our express written permission.
- Prohibited Activities: You agree not to systematically scrape data from the Site, bypass security features, or use the Site in any manner inconsistent with applicable laws.
2. SaaS Services, Accounts, and Support
To access the core functionality of Hingeflow, you must register for an account.
- Account Security: You will identify an administrative user name and password during registration. We reserve the right to refuse registration of, or cancel passwords we deem inappropriate. You are responsible for maintaining the security of your equipment, account, and passwords, and for all uses of your account.
- Pilot and Trial Use: If your use of the Services is for a pilot or free trial evaluation, no fees will apply unless specified, and the Services are provided "AS IS" without any warranty obligations.
3. Restrictions and Responsibilities
As a user of the Services, you will not, directly or indirectly:
- Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services.
- Modify, translate, or create derivative works based on the Services.
- Use the Services for timesharing or service bureau purposes or otherwise for the benefit of a third party.
4. AI Data Extraction & Accuracy Disclaimer
Hingeflow utilizes artificial intelligence and automated extraction technology to parse hardware schedules and other project documents.
- Verification Required: The AI data extraction is provided to assist in your workflow but is not guaranteed to be 100% accurate. You are solely responsible for reviewing, verifying, and confirming the accuracy of all extracted data before utilizing it.
- No Liability for Errors: We are not liable for any financial losses, project delays, or incorrect material orders resulting from hallucinated, omitted, inaccurately extracted, or incorrectly structured data provided by the Services.
5. Proprietary Rights and Data
- Customer Data: You shall own all right, title and interest in and to the non-public data you provide to enable the provision of the Services ("Customer Data").
- Company Rights: We shall own and retain all right, title and interest in and to the Services, Software, all improvements, enhancements or modifications thereto, and all intellectual property rights related to any of the foregoing.
- Data Usage: We shall have the right to collect and analyze data relating to the provision, use and performance of the Services. We will be free to use such information to improve the Services and disclose such data solely in aggregate or other de-identified form.
6. Warranty and Disclaimer
We shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions. However, we do not warrant that the Services will be uninterrupted or error free; nor do we make any warranty as to the results that may be obtained from use of the Services.
THE SERVICES ARE PROVIDED "AS IS" AND COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
7. Limitation of Liability
NOTWITHSTANDING ANYTHING TO THE CONTRARY, WE SHALL NOT BE RESPONSIBLE OR LIABLE UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY:
- FOR ERROR OR INTERRUPTION OF USE, OR FOR LOSS OR INACCURACY OR CORRUPTION OF DATA, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS.
- FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.
- FOR ANY AMOUNTS THAT, TOGETHER WITH AMOUNTS ASSOCIATED WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID BY CUSTOMER TO COMPANY FOR THE SERVICES UNDER THIS AGREEMENT IN THE 12 MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY.
8. Miscellaneous
This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements relating to the subject matter of this Agreement. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. This Agreement shall be governed by the laws of the State of Utah without regard to its conflict of laws provisions.
9. Changes to these Terms
We may update this Agreement from time to time. When we do, we will revise the "Last Updated" date above. Changes take effect when posted, and your continued use of the Site or Services after that date constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you should stop using the Site and Services.
